			<content:encoded><![CDATA[<p style="text-align: justify;">Reservation of Ownership and Grant of License: Yerko H. Pallominy retains exclusive ownership of any copy of the Images licensed under this Agreement and hereby grants his clients a personal, non-exclusive, non-transferable license, without the right to sub-license, pursuant to the terms and conditions of this Agreement. The use of the Images is as follows: for all commercial uses; printed marketing material or product/packaging, Web, electronic, or broadcast uses for commercial (vs. editorial) purposes; print ad or display. Editorial uses; inside placement or back cover, front cover, Web, electronic, or broadcast for editorial purposes.</p>
<p style="text-align: justify;">Copyright: The Images are owned by Yerko H. Pallominy and/or its Licensors and are protected by United States copyright laws and applicable international treaties and/or conventions.</p>
<p style="text-align: justify;">Prohibited Uses: Clients may not modify, alter, or create derivative works based on the Images. And may not sell, rent, lease, sub-license, transfer, or provide unlicensed third parties access to the Images or your rights under this Agreement. Clients may not apply for copyright or trademark protection of material based on the Images. And may not assign this Agreement or your rights under this Agreement without the prior written consent of Yerko H. Pallominy. Any purported assignment without such consent shall be null and void.</p>
<p style="text-align: justify;">Term: The term of the License granted by this Agreement is from the effective date of this Agreement. The Agreement automatically terminates without notice if you fail to comply with any provision of this Agreement. The parties hereby agree that all provisions that operate to protect the proprietary rights of Yerko H. Pallominy shall remain in force should breach occur. Yerko H. Pallominy may terminate this Agreement immediately for any use of the Images that it deems offensive to or defamatory of Yerko H. Pallominy.</p>
<p style="text-align: justify;">Credit: Unless expressly waived, ProArc Photography ©Yerko H. Pallominy must appear on the same page as the photograph(s). If intended use is for website, credit must read © 2005-2008 Yerko H. Pallominy.</p>
<p style="text-align: justify;">Fee: All applicable fees shall be paid in full by licensee prior to publishing images, either printed and/or online publications.</p>
